Hewitsons corporate team has recently acted for the Michingan-headquarted firm ProQuest in the acquisition of Hertfordshire based company Pi2 Solutions Ltd and its US subsidiary Pi2 Solutions LLC - an industry leader in product literature databases, workflow tools and related outsourcing services for global pharmaceutical companies.
The Hewitsons team, lead by David Browne, advised on and negotiated the share purchase agreement and the other documents in relation to the acquisition. The matter required input from a number of specialist teams across the firm, including the corporate team (partner David Browne and assistance Anne Sophie Reynolds), the commercial team (partner Kevin Fletcher), the property team (partner Patricia Kempson), the pensions team (senior solicitor Chris Nuttall) and the employment team (associate Lynne Adams).
Although Pi2 Solutions was acquired by an English subsidiary of ProQuest the main two contacts for ProQuest were based in the U.S and in different states and time zones, adding an extra challenge for Hewitsons to ensure that the service to the client was not affected.
ProQuest plans to align Pi2 with its ProQuest Dialog corporate information service to create an integrated solution for pharmacovigilance and expand ProQuest’s presence in the pharmaceutical industry.
