We act for public companies, with a focus on small and mid-size companies admitted or considering admission to the AIM market, the Official List (Premium and Standard segments) and the ISDX growth market.
We know and work with a large number of financial advisers and brokers, and act for some of them.
Our corporate finance expertise includes:
- admissions to the Official List, AIM and ISDX
- fundraisings and secondary issues
- corporate reorganisations
- court approved capital reductions and schemes of arrangement
- major acquisitions (“reverse” takeovers) and re-admissions to trading
- City Code whitewash approvals
- corporate governance issues
- statutory and market regulatory issues
Our team’s expertise goes back over 30 years and remains at the leading edge. We include a previous chairman of the legal expert group (and now a member of the corporate finance advisers expert group) of the Quoted Companies Alliance. The QCA champions the interests of (and lobbies on issues affecting) small and mid-size companies, and provides a sounding board on current issues across the full range of City advisers.
We understand the problems and concerns that arise when a company is coming to the capital markets. We appreciate that it is hard enough to raise funding in the City while continuing to manage the business. We can help by focusing clients onto the key points on the various documents involved, and we bring a straight-forward approach to negotiating transaction documents.
We scale our involvement to meet the requirements of each transaction. This may range from a verification exercise on an institutional presentation and negotiating a placing agreement for a small secondary fundraising, to providing a full legal documents kit and (quite frequently) project managing the preparation of circulars to shareholders for a capital reorganisation, fundraising and major acquisition.
We are agnostic as to markets and industry sector. Our transactions have involved Australian, Irish and other non-UK markets, and clients in a variety of sectors, including property, natural resources, residential housebuilding, office building contractors, biotech and technology investment.
